1. Legal Entity and Binding Effect

These Terms of Service (“Terms”) govern access to and use of the Voiger cloud contact centre platform, including Voiger Voice, Voiger AI Bot, Voiger Intelligence (AI Analytics add-on), integrations, APIs, dialer functionality, call masking, campaign management tools, and related services (collectively, the “Services”)

The Services are provided by Voiger Technologies FZ-LLC (or applicable legal entity), incorporated in the United Arab Emirates (“Voiger”).

These Terms are incorporated into all Order Forms and Subscription Agreements. By signing any Order Form or accessing the Services, the Customer agrees to be legally bound by these Terms.

2. Nature of Services

The Services are software infrastructure tools enabling voice communication workflows.

Voiger does not act as a telecom operator and does not guarantee delivery of calls, call quality, internet performance, third-party carrier performance, or AI output accuracy.

Customer remains solely responsible for regulatory compliance, recording consent, outbound campaign legality, anti-spam compliance, and data protection compliance.

3. AI & Analytics Disclaimer

AI-generated outputs (including transcription, summaries, sentiment scoring, tagging, and scorecards) are probabilistic.

Voiger makes no warranty regarding accuracy, completeness, reliability, or fitness for legal or regulatory decisions.

Customer agrees not to rely solely on AI outputs for disciplinary, financial, or regulatory decisions.

4. Telecom & Carrier Limitation

Voiger is not liable for carrier outages, SIP/PRI failures, BYOC disruptions, number blocking, spam flagging, regulatory suspensions, or country restrictions

Customer assumes full responsibility for BYOC arrangements, regulatory compliance, and telecom licensing.

5. Fees and Payment

All Fees are non-refundable and non-cancellable.

Downgrades require at least one (1) month written notice and take effect only on the next billing cycle.

Failure to pay may result in immediate suspension without liability, and suspension does not relieve payment obligations.

6. Suspension Rights

Voiger may suspend Services immediately if payment is overdue, regulatory risk is detected, spam complaints are received, fraud is suspected, or security risks arise.

Voiger shall not be liable for lawful suspension.

7. Data Risk Allocation

Customer acknowledges inherent risks of internet and telecom transmission.

Voiger is not liable for data loss caused by third-party services, customer misconfiguration, or integration errors.

8. Limitation of Liability

Maximum aggregate liability shall not exceed total Fees paid in the preceding twelve (12) months.

Voiger shall not be liable for loss of profits, business interruption, loss of data, reputational damage, AI inaccuracies, telecom failures, regulatory fines incurred by Customer, or indirect damages.

No founder, director, shareholder, employee, or advisor shall have personal liability.

9. Indemnification

Customer shall indemnify Voiger against claims, regulatory fines, telecom violations, privacy breaches, misuse of dialer tools, and unlawful campaigns, including legal fees and settlement costs.

10. Beta Services

Beta or preview features are provided “as is” without warranty, SLA, or support commitments and may be discontinued at any time

11. Termination

Early termination for convenience requires payment of full remaining contract value.

Downgrades do not reduce contracted value mid-term.

12. Governing Law

These Terms shall be governed by the laws of the United Arab Emirates. Disputes shall be resolved by the courts of Dubai or through arbitration under DIAC rules (as specified in the Order Form).

13. Entire Agreement

These Terms, together with applicable Order Forms, constitute the entire agreement between the parties and supersede prior agreements.

If any provision is deemed unenforceable, the remaining provisions remain in effect.

14. Founder Protection

Customer agrees that any claims shall be brought solely against Voiger as a corporate entity and not against any individual founder, shareholder, director, officer, employee, or agent.
